These Terms of Service (the “Terms”) form a binding agreement between you and Social Technologies (“SoTech,” “we,” “us,” or “our”) and govern your access to and use of thesocialtech.net, our forms, our AI voice agent, and any services we deliver to you (collectively, the “Services”). By using the Services or engaging us under a separate statement of work, you agree to these Terms. If you do not agree, do not use the Services.
Social Technologies provides marketing technology services to small and mid-sized businesses, including but not limited to:
The exact deliverables, timelines, and pricing for any client engagement are set out in the statement of work, proposal, or contract you sign with us. Where those documents conflict with these Terms, the signed engagement document controls for that engagement.
When using the Services you agree to:
We may suspend or terminate access for any breach of these obligations.
The website, brand, copy, design system, code, templates, workflows, prompts, and other materials we create remain the property of Social Technologies, except where a signed engagement document explicitly transfers ownership of specific deliverables to you upon full payment.
Content you supply to us (logos, photography, copy, data, account access) remains your property. You grant us a limited license to use that content as needed to deliver the Services for the duration of the engagement.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. We do not guarantee specific marketing outcomes such as rankings, conversion rates, return on ad spend, or pipeline volume. We rely on third-party platforms (such as Google, Meta, Twilio, Stripe, GoHighLevel, and Vercel) whose availability and policies are outside our control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL TECHNOLOGIES AND ITS PRINCIPALS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE EVENT.
You agree to defend, indemnify, and hold harmless Social Technologies and its principals, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) content, data, or instructions you provide to us; (b) your use of the Services in violation of these Terms or applicable law; or (c) your failure to obtain or maintain consent for individuals you ask us to contact on your behalf.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services that is not resolved through good-faith negotiation will be brought exclusively in the state or federal courts located in Florida, and the parties consent to the personal jurisdiction and venue of those courts.
We may revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
